Context of the role
Pennylane is structuring the Corporate division of its legal team to support growth in France and internationally, secure its strategic operations, and strengthen its governance. As Equity Counsel, you will play a key role at the interface between Legal, Finance, and People teams, with a central responsibility: managing our employee share ownership plans (current and future) and ensuring a reliable cap table, while also addressing key corporate issues. This position has a European scope and involves daily cross-functional interactions.
Main missions
As Equity Legal Counsel, you will manage all aspects of our employee share ownership plans (BSPCE, BSA, stock options, and more broadly, the mechanisms that will be implemented in the future) from start to finish. More specifically, you will be responsible for:
- To orchestrate the allocation of ESOPs in coordination with internal and external stakeholders, and to support the beneficiary employees;
- Managing the “post-allocation”: exercises, liquidity/secondary events, departures, international mobility, status changes, and more generally any event impacting equity, by carrying out the execution of these operations from A to Z (documentation, reverse planning, HR/Finance coordination, communication to beneficiaries);
- Ensure the daily monitoring and updating of the cap table, with a high level of requirement for accuracy, traceability and consistency of data;
- Maintain and keep corporate documentation and formalities associated with capital transactions: registers, securities movements, legal documentation and governance;
- Provide clear and responsive support to employees benefiting from options, by translating complex legal topics into operational decisions and messages;
- Provide quality support to HR teams, particularly Ops and Talent Acquisition, on equity issues;
- Contribute to continuous improvement: structure, document and optimize equity processes (standardization, automation, use of tools and AI-driven approach);
- To actively monitor regulatory developments related to employee share ownership and capital transactions, in France and Europe.
Desired profile
- You have at least 2 years of experience in corporate law, in law firms and/or companies, with significant exposure to equity issues.
- You have a solid foundation in corporate law and capital transactions (governance, documentation, formalities, coordination of transactions).
- You are familiar with the regulations applicable to employee share ownership and capital transactions (BSPCE, BSA, stock options today, and curiosity for future mechanisms), as well as the associated formalities.
- You demonstrate exemplary rigor and a great sense of organization: the reliability of the cap table and the quality of the data are non-negotiable for you.
- You are pragmatic: you know how to propose effective solutions, find the right level of security, and move issues forward with simplicity and agility.
- You like “ops” topics as much as legal ones: you have a real appetite for tooling, automation and continuous improvement (including via innovative tools and AI).
- You know how to work with multiple teams (People, Finance, TA) and you have excellent interpersonal skills: you are able to clearly explain technical legal concepts to non-legal interlocutors, with pedagogical skill.
- You have excellent communication and writing skills, in both French and English (fluent English required).
